Principal Broker Succession Planning

Developing a succession plan is a key component of a Principal Broker’s oversight and supervisory responsibilities. Effective succession planning ensures continuity of leadership and compliance, while mitigating disruption to clients and the firm’s reputation.

RIBO recommends that all Principal Brokers establish succession policies within their firm to ensure a qualified individual is always available to act as a Principal Broker. As outlined in the Principal Broker Handbook, the appointment of a Deputy Principal Broker may also support succession planning within the firm, ensuring that a qualified individual is available to act in the capacity of Principal Broker in the event the designated Principal Broker retires or is unable to fulfill these duties.

Where an internal successor is not available, firms may need to consider other alternatives which could include selling or shutting down the business.

Appointing Deputy Principal Brokers or Supervising Brokers

A recognized best practice for succession planning is appointing Deputy Principal Brokers or Supervising Brokers. These individuals provide additional compliance support to the Principal Broker and can serve as an interim or replacement Principal Broker in the event of an emergency, planned transition, or unforeseen absence.

Becoming a Principal Broker

Individuals seeking to become a Principal Broker must hold a Level 3 licence and be appointed as an officer or director of the firm. Additional eligibility requirements are set out in section 6.1 of RIBO By‑Law No. 3.
